Fund Formation Lawyer

What it’s about

The candidate would be a part of a dedicated and highly collaborative legal structuring team and would focus work on ‘evergreen’ open-ended and non-traditional investment vehicles for private equity, real estate, public debt and infrastructure funds.  The candidate will be focusing on European structures but will also get experience working on interesting (often first to market) funds on a global basis.

 

Partners Group’s Open-Ended & Complex fund formation business unit is responsible for developing innovative investment structures for institutional and private investors globally. The candidate will also become involved in the legal negotiations for distribution of these funds.  Our fund formation professionals regularly interact with the firm’s internal client relationship management, investment and operations teams as well as with clients directly and external professionals. Representative projects may include, for example, the establishment of evergreen, fully paid-in investment vehicles (Defined Contribution (DC) funds, SICAVs, Limited Partnerships, ELTIFs, CIT)), design and formation of bespoke investment structures, development, negotiation and implementation of demand (including drafting distribution agreements), review of regulatory frameworks and participation in marketing meetings.

 

  • The key responsibilities shall include:
  • Serve as a point person regarding advice on fund formation legal matters throughout all stages for complex structuring projects and fund products;
  • Assist and coordinate with external advisors and business groups on legal matters relating to capital formation / fundraising and fund related issues with respect to our products;
  • Draft and/or review agreements, offering memoranda and documentation relating to investment structures – particularly evergreen / open-ended funds;
  • Assist in updating and revising of investment vehicles’ offering materials;
  • Assist in the review of investor communications and responses to investor inquiries;
  • Assist in structuring and facilitating, designing and implementing innovative product and investment structures and other related product development initiatives;
  • Research key considerations relevant to specific clients, products and jurisdictions (particularly ongoing developments in DC schemes accessing private markets);
  • advising regarding laws including staying up to date regarding evolving compliance and regulatory issues and advising clients on new developments
  • Efficiently manage complex structuring projects

 

What we expect

  • 3-5 years of relevant work experience in private markets, asset management or similar fields
  • Top academic credentials in law
  • Experience with open ended funds is not essential but would be very helpful
  • Self-motivated and proactive individual with strong desire to learn and succeed
  • Excellent analytical, interpersonal and project & task management skills to manage multiple projects at any one time
  • Ability to effectively communicate with both internal and external parties
