How This Role Contributes to Brighthouse Financial:

The Company is seeking an attorney to join the Brighthouse Legal Department to be part of a team that provides day-to-day support of investment advisory matters connected to the Brighthouse Funds registered under the Investment Company Act of 1940. The Brighthouse Funds are offered through registered insurance company issued products.

Key Responsibilities:

  • Provide legal support for all aspects of legal and regulatory matters for the Brighthouse Funds, including preparing and reviewing board materials for quarterly Funds’ Board of Trustees meetings; Draft and revise correspondence and assist with the preparation and distribution of various reports and presentation materials;  Review memoranda, presentations, proposed resolutions and other materials as required; Gather, assemble, track and distribute materials related to the Brighthouse Funds annual 15(c) contract review, Board of Trustees meetings as well as meetings with Brighthouse Advisers and numerous sub-advisers.
  • Provide day-to-day legal support to Brighthouse Investment Advisers, a registered investment adviser.
  • Prepare and oversee the registration statements and prospectus supplements for the Brighthouse Funds; Coordinate the review process of the annual registration statement and ongoing maintenance of such filings; Track and review all comments from outside investment firms and internal review groups; Oversee and implement all comments on the mutual fund disclosures from the SEC and other regulatory bodies; Monitor and file any updates (supplements), as necessary, to ensure the disclosures remain accurate throughout the year.
  • Prepare and oversee the drafting of SEC filings relating to: sub-adviser changes (14C Information Statements), new portfolios, substitutions, and mergers/acquisitions and/or liquidations;
  • Provide advice regarding and implementation of new mutual fund related regulations; and
  • Update and maintain Form ADV disclosures for BIA and filing such forms as required with the SEC.
  • Coordinate the legal review of the Brighthouse Funds’ annual and semi-annual reports and assist  Fund Administration on matters relating to the Funds’ audits.

Essential Business Experience and Technical Skills:

  • Juris doctorate from an accredited law school; admitted to practice before a state bar association;
  • 2-4 years of experience with federal securities laws regulating mutual funds, preferably with a law firm;
  • Prior experience with registration of mutual funds on Form N-1A under the Investment Company Act of 1940 and Securities Act of 1933;
  • Experience with preparing materials and attending Board meetings for registered mutual funds;
  • Experience reviewing distribution agreements, advisory and sub-advisory agreements and non-disclosure agreements;
  • Experience interacting with clients and managing or escalating questions or issues as appropriate; Strong oral and written communication skills; Strong interpersonal and organizational skills; and Analytical thinking and problem solving.
  • Strong capacity to manage own performance independently and effectively, exhibiting excellent time management and detail orientation. Sense of urgency, with the ability to identify and articulate issues, offer solutions and follow-through to resolution.

Preferred Qualifications:

  • Prior experience reviewing and advising on valuation, derivatives, and 15(c) process related to mutual funds.
  • Experience with electronic document management systems such as ArcPro or DiligenceVault.
